Terms of Use of the E-Invoicing Service

The Codebarista E-Invoicing Service is operated by Codebarista Softwareentwicklung Winkler und Steuer GbR, Hanselmannstraße 32, 80809 München, Germany (hereinafter referred to as "Codebarista" or "we"). The service is intended exclusively for business customers (entrepreneurs within the meaning of § 14 BGB, German Civil Code).

This is a courtesy translation of the German terms of use. In the event of any discrepancy, the German version shall prevail.

Use of the Codebarista E-Invoicing Service is subject to the terms and conditions below. By using the service, you agree to these terms and conditions. Please read them carefully.

1. Usage Rights

You are granted the non-exclusive right to use the Codebarista E-Invoicing Service in accordance with these terms. You are responsible for all activities that occur under your license key.

The license key entitles you exclusively to use the E-Invoicing Service for the company name specified at the time of contract conclusion and the system registered there (e.g. shop, ERP system, or other invoicing platform). Use of the license key for multiple companies, systems, or third parties is not permitted.

2. Function Overview

The Codebarista E-Invoicing Service is a backend service for generating e-invoices. Invoice data and other relevant information are transmitted to our backend service, which generates an e-invoice and returns it.

To use the E-Invoicing Service, you need a license key, which you will receive from us after the contract is concluded.

3. Your Responsibilities

You are responsible for ensuring that your use of the Codebarista E-Invoicing Service does not violate any applicable laws, rules, and regulations, including local, state, national, and international laws.

You confirm that all data provided by you (in particular company name and contact details) is accurate and complete. You will promptly inform us of any changes to the data you have provided.

You are obligated to take appropriate measures to prevent misuse of your license key.

Should we determine that your license key is being used in a manner that harms Codebarista or other parties, we reserve the right to take action, including revoking access to our products.

4. Availability

We make every effort to ensure the availability of the Codebarista E-Invoicing Service and provide a seamless user experience.

Despite our best efforts, we cannot guarantee uninterrupted availability of the service. Unforeseen circumstances, maintenance, or technical issues may occasionally occur, leading to temporary interruptions.

However, we are committed to resolving any disruptions as quickly as possible and restoring the availability of the service.

5. Operator's Rights

In the event of a violation of the terms of use or the identification of misuse, we reserve the right to block your license key. We will notify you of the blocking of your license key.

In the case of repeated misconduct, we reserve the right to permanently exclude you from using the Codebarista E-Invoicing Service.

6. Privacy

The protection of your data and your customers' data is of utmost importance to us. Please read our privacy policy to understand how we handle personal information.

7. Disclaimer of Liability

We are fully liable for damages arising from injury to life, body, or health, as well as for damages caused by intent or gross negligence on our part.

In cases of slight negligence, we are only liable for the breach of a material contractual obligation (cardinal obligation). In such cases, our liability is limited to the foreseeable, contract-typical damage at the time of contract conclusion. Any further liability for slight negligence is excluded. In cases of slight negligence, we are in particular not liable for:

  • the accuracy of the content of the transmitted data. As the invoice issuer, you remain solely responsible for verifying the generated e-invoices for content accuracy and compliance with tax law requirements before use. Our liability for the technically correct conversion of the provided data into the agreed target format remains unaffected.
  • Indirect damages such as lost profits, revenue losses, production failures, or missed business opportunities.
  • Damages caused by force majeure, natural disasters, or other unforeseeable circumstances beyond our control.
  • Actions or omissions of third parties not acting on our behalf.

8. Changes to the Terms

We reserve the right to modify these terms of use in order to meet legal requirements or to improve the service. We will notify you of any changes at least 30 days before they take effect.

In the change notification, we will inform you that the amended terms will be deemed accepted by you if you continue to use the service after the 30-day period has expired, and that you may terminate the contract extraordinarily within this period.

If you do not agree with the changes, you may terminate the contract extraordinarily within the 30-day period. The termination will take effect when the new terms come into force, without incurring any costs or disadvantages. Any fees already paid will be refunded on a pro-rata basis.

9. Contract Duration

The duration of the Codebarista E-Invoicing Service and any renewal terms are individually agreed with each customer and are bindingly recorded in the respective invoice or contract document. There is no standard contract duration or automatic renewal. All terms are negotiated on a case-by-case basis.

10. Termination

We reserve the right to discontinue the Codebarista E-Invoicing Service with a reasonable notice period of at least 3 months. Should we terminate the service before the end of the agreed contract period, we will refund the proportionate amount for the unused period. The refund is based on the service months already paid for but not used.

These terms of use are subject to the laws of the Federal Republic of Germany.
